1. Acceptance of Terms

These Terms and Conditions (“Terms”) govern your access to and use of the website located at onhourglass.com (the “Site”), operated by DARE Legal Technologies Inc. d/b/a Hourglass (“Hourglass,” “we,” “our,” or “us”). By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must discontinue use of the Site immediately.

If you are using the Site on behalf of a company, organization, or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms. In such cases, “you” and “your” refer to that entity.

2. About the Site

The Site serves as the public-facing website for Hourglass, an automated timekeeping and billing compliance platform designed for law firms and legal professionals. The Site provides general information about our company, our products and services, and related resources.

These Terms apply exclusively to your use of the Site. Access to and use of the Hourglass platform, software, and related services is governed by separate subscription agreements between Hourglass and its customers. Nothing in these Terms creates, modifies, or supplements any such agreement.

3. Eligibility

The Site is intended for individuals who are at least eighteen (18) years of age and who possess the legal capacity to enter into a binding agreement. By using the Site, you confirm that you meet these requirements.

4. Intellectual Property

A. Ownership

All content, materials, features, and functionality available on or through the Site (including but not limited to text, graphics, logos, trademarks, trade names, images, software, page layouts, and design elements) are owned by or licensed to Hourglass and are protected by United States and international intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from the Site without our prior written consent.

B. Feedback

If you choose to provide us with suggestions, ideas, comments, or other input regarding the Site or our products (“Feedback”), you acknowledge that such Feedback is provided voluntarily and on a non-confidential basis. You grant Hourglass a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and otherwise exploit such Feedback for any purpose, without obligation of compensation or attribution to you.

5. Prohibited Conduct

When using the Site, you agree that you will not:

  • Use the Site for any purpose that is unlawful or that violates any applicable local, state, national, or international law or regulation.
  • Attempt to gain unauthorized access to any portion of the Site, its underlying systems or infrastructure, or any networks connected to the Site.
  • Interfere with or disrupt the integrity, performance, or availability of the Site, including through the introduction of viruses, malicious code, or denial-of-service attacks.
  • Use any automated means (including bots, crawlers, scrapers, or data mining tools) to access, monitor, collect data from, or interact with the Site, except as expressly permitted by Hourglass or through generally available web browsers.
  • Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code or underlying structure of any technology used in connection with the Site.
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices displayed on the Site.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Use the Site to transmit unsolicited advertising, promotional materials, spam, or any other form of unauthorized solicitation.
  • Collect or harvest personal information from other users of the Site without their consent.

Hourglass reserves the right, but is not obligated, to monitor use of the Site and to investigate conduct that may violate these Terms. We may, in our sole discretion, restrict, suspend, or terminate access to the Site for any user who engages in prohibited conduct.

The Site may contain links to websites, applications, or resources operated by third parties. These links are provided for convenience only and do not imply endorsement, sponsorship, or responsibility on our part. Hourglass has no control over, and assumes no liability for, the content, privacy practices, or availability of any third-party properties. Your interactions with third-party sites are governed solely by those sites’ own terms and policies.

7. Modifications to the Site and These Terms

We reserve the right to modify, update, suspend, or discontinue the Site (or any portion thereof) at any time, with or without notice, and without liability to you.

We may also revise these Terms from time to time. When we do, we will update the “Effective Date” at the top of this page. If we make changes that are material, we will use reasonable efforts to provide notice, such as by posting a prominent notice on the Site. Your continued use of the Site after any revised Terms become effective constitutes your acceptance of those changes.

8. Disclaimer of Warranties

THE SITE AND ALL CONTENT, MATERIALS, AND INFORMATION MADE AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OR REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HOURGLASS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

HOURGLASS DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. HOURGLASS MAKES NO REPRESENTATIONS REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT AVAILABLE ON OR THROUGH THE SITE.

NOTHING ON THE SITE CONSTITUTES LEGAL ADVICE. THE INFORMATION PROVIDED ON THE SITE IS FOR GENERAL INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON AS A SUBSTITUTE FOR CONSULTATION WITH QUALIFIED LEGAL COUNSEL.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HOURGLASS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND REGARDLESS OF WHETHER HOURGLASS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF HOURGLASS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION REFLECT A REASONABLE ALLOCATION OF RISK BETWEEN THE PARTIES AND ARE A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN HOURGLASS AND YOU. THE SITE WOULD NOT BE PROVIDED WITHOUT THESE LIMITATIONS.

10. Indemnification

You agree to indemnify, defend, and hold harmless Hourglass and its affiliates, officers, directors, employees, and agents from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement or misappropriation of any third party’s rights.

11. Termination

Hourglass may, in its sole discretion and without prior notice, suspend or terminate your access to the Site at any time and for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Site will cease immediately. All provisions of these Terms that by their nature should survive termination will survive, including but not limited to Sections 4 (Intellectual Property), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 10 (Indemnification), and 12 (Governing Law).

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any legal action, suit, or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in the State of Delaware, and you irrevocably consent to the personal jurisdiction and venue of such courts.

13. General Provisions

A. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Hourglass with respect to your use of the Site, and supersede all prior or contemporaneous communications, understandings, and agreements, whether written or oral.

B. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

C. Waiver

No failure or delay by Hourglass in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. A waiver of any provision shall be effective only if made in writing and signed by an authorized representative of Hourglass.

D. Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of Hourglass. Hourglass may freely assign or transfer these Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

E. Notices

Any notices or communications provided by Hourglass under these Terms may be given by posting to the Site or by email to the address associated with your inquiry. Notices provided by email shall be deemed received on the date of transmission.
